This document outlines the Terms of Service governing the engagement between the Client and the Consultant for Graphic Design Services. These terms are integral to and inseparable from the principal Graphic Design – Terms of Services (TOS) and the accompanying Project Quote.
Parties and Agreement
These Terms of Service (TOS) are a binding component of the principal agreement between:
- The Consultant: “Studio3 Design & Art Consultant” or “Aamir Rizvi – Graphic Designer” (represented by The Sales Department or Aamir Rizvi).
- The Client: the Client (as defined in the accompanying Project Quote).
Acceptance of this TOS is crucial for initiating the project in accordance with the Service Agreement and Quote. By paying the agreed/quoted amount, the Client acknowledges and accepts all conditions set forth herein.
Scope of Work and Deliverables
The Consultant agrees to execute the project through the following stages. These stages may vary based on the project requirements and are dictated mainly by the quotation:

| A. Discovery Stage | This is the stage where we discuss the Client’s pain points, needs, wants, and outcomes. |
| B. Initial/Low Fidelity Design Stage | Development of preliminary design proposals/minimal viable product/wireframes based on the detailed requirements provided by the Client at the Discovery Stage. At this stage, we try to figure out the best possible route to solve the problems more flexibly, using the least time and resources. |
| C. Final/High Fidelity Design Stage | Preparation of detailed, high-quality, final design and documentation required for print/publication. This stage commences only after the Client’s formal approval of the initial design proposals. |
| D. Delivery Stage | Key Deliverables are explicitly outlined and specified as mentioned in the Quote for the selected Project Type. Generally, these may include: Preview PDFs/Jpegs/PNGs Final Print-Ready PDFs/Jpegs/PNGs Revisions Editable Project Source File Backward Compatible Project Source Files Custom Graphics (Charts/Pictures/Color Pallets/Typography and Documentation) |
Fees and Payment Terms
Project Design Fee
The total Project Design Fee is usually calculated based on the project scope as defined in the Project Quote.
Payment Schedule
The Client is contractually obligated to make payments according to the following schedule. Instalments are due upon the delivery or discussion of the respective stage, with specific due dates and amounts as outlined in the Quote.
Refund Policy
All fees paid to The Consultant, including the Advance Fees and subsequent instalments, are non-refundable under any circumstances, reflecting the immediate investment of time, resources, and intellectual property.
Late Payments and Penalty
The Consultant must be formally notified if the Client requires a delay in payment.
A maximum delay of one (1) month from the due date may be permitted only for a valid and genuine reason, as determined by the Consultant.
If payment is not received after the allowed grace period, the outstanding amount will incur a penalty of 10% of the total design fee for each subsequent 15-day period of delayed payment.
General Terms & Conditions
Additional Services
Any requests made by the Client for services or revisions that fall outside the initially defined Scope of Work shall be considered Additional Services and will be charged separately based on the Consultant’s standard or special hourly or project rates.
Execution Liability
The Consultant’s responsibility is limited exclusively to the file versions released at the time of project delivery as defined in the Quote. The Consultant explicitly confirms that they are not responsible for any execution/print/development of the tempered version of the delivered files.
Project Halt or Termination
A formal memorandum signed by both parties must be prepared to document the pause, establish a resume date, and detail all necessary financial and contractual implications.
If the Client terminates the project, they are bound to formally notify the Consultant and pay the full amount due for all design stages that have been completed up to the date of termination.
Upon abrupt project termination, the Consultant reserves the right to deduct a 20% Project Termination Fee from the total Project Quoted amount.
Should the Client terminate the project mid-session and fail to pay all outstanding dues, the Consultant reserves the right to pursue full legal action against the Client to recover the entire unpaid balance.
